Supplemental Agreement

TeleMessage Network Archiver

 

This is a Supplement Agreement (this “Agreement”) in between CSL Mobile Limited (“CSL”), whose registered office is 39th Floor, PCCW Tower, TaiKoo Place, 979 King’s Road, Quarry Bay, Hong Kong and XXX limited, whose registered office is XXXX (“Company” or “Customer”).

CSL agrees to resell TeleMessage Network Archiver Solution (the “Service”) to the Company , and CSL agrees to provide sending /routing short message service (“SMS”) text messages to TeleMessage servers, billing services and Tier 1 Technical Support as set in Schedule 2 to the Company in accordance with the terms and conditions of this Agreement.

TeleMessage Network Archiver Solution – Terms and Conditions

  1. The Service is provided to you by TeleMessage Ltd (“TeleMessage”), a company incorporated in Israel with limited liabilities. CSL Mobile Limited (“CSL”) is the authorized by TeleMessage for reselling the Service.
  2. By applying, accessing or using the Service, you confirm to have read, understood and accepted (i) the terms and conditions of TeleMessage (https://www.telemessage.com/privacy-policy/) and (ii) Privacy Statement of TeleMessage (https://www.telemessage.com/terms-conditions/) and (iii) TeleMessage Terms of Service for the Network Archiver product line (https://www.telemessage.com/terms-conditions-network-archiver/) as published by TeleMessage from time to time (collectively “TeleMessage Terms and Conditions”).
  3. CSL only liable to enable the “Copy To” feature on their SMSC and adds configuration to send/route short message service (“SMS”) text messages to TeleMessage servers. CSL sends copies of SMS messages archived at the network level in real-time to the TeleMessage server.
  4. Customer must provide update list of mobile numbers, emails, names to be deactivated if any mobile numbers are no longer being used by the Customer and/or its employees or Customer has no longer has the right to obtain the archived message of the mobile numbers.
  5. You fully acknowledge that TeleMessage is wholly and fully responsible for the provision, activation, maintenance, operation and other matters of the Service. The Services is defined and limited to the specifications listed at https://www.telemessage.com/mobile-archiver/network-archiver/.
  6. All the Services are provided on an “as is” basis.
  7. You fully acknowledge that TeleMessage is wholly responsible for the provision, activation, maintenance and operation of the Service. In case of any enquiry or dispute about the Service, please contact TeleMessage directly on support@telemessage.com.

Installation, Warranty & Maintenance

  1. Upon receipt of an executed Agreement, CSL will:
    •  Complete the SMS Archiving integration with TeleMessage; and
    • Provision Customer’s users on the CSL platform; and
    • Pass the given information to TeleMessage for the Service setup.4.2
    • Tier 1 Customer Support listed in schedule 2
    • CSL will provide Customer with technical and hotline support listed in schedule 2
    • Service Levels and associated response times can be found in Section 2.
  1. Upon receipt of an executed Agreement, Customer Responsibilities are:
    • Customer must provide a valid email address at time of onboarding.
    • Customer must provide archiving destination partner.
    • Customer must provide list of names, emails, mobile numbers to be activated.
    • Customer is allowed to obtain the message of the given mobile numbers by any regulation or law, and perform all necessary actions which required by any regulation or law as obtaining numbers’ messages. Customer would indemnify CSL to any liability claim in routing the given numbers’ message to TeleMessage.

Customer’s Agreement

We, being the Company under this Agreement, have read and hereby agree to all the terms and conditions of this Agreement. We confirm that our signatory(ies) of this Agreement has/have been duly authorised by us, and we further confirm that all information provided by us under this Agreement is up-to-date, complete, true and correct.
